1. Definitions

• "Platform" refers to the website recrugen.com and all associated services.
• "Employer" means a registered business that posts roles to hire candidates.
• "Candidate" means an individual who creates a profile to be matched with roles.
• "Placement" means the joining of a Candidate at an Employer's organization following a match facilitated by the Platform.

2. Eligibility

You must be at least 18 years old and legally capable of entering binding contracts under Indian law to use the Platform. Employers must be legally registered businesses authorized to hire in India. By using the Platform, you represent that you meet these criteria.

3. Account Registration

You agree to provide accurate, current, and complete information when creating your account. You are responsible for maintaining the confidentiality of your account credentials and for all activities conducted under your account. Notify us immediately of any unauthorized access at hello@recrugen.com.

4. Role of Recrugen

Recrugen is a technology platform that connects Employers and Candidates using AI-driven matching. We are not an employer, recruiter of record, or staffing agency. We do not guarantee employment for Candidates or the suitability of any Candidate for any role. The decision to hire, the employment contract, and the employment relationship itself are exclusively between the Employer and the Candidate.

5. Fees and Payment (Employers)

• The standard commission is 18% of the Candidate's annual gross CTC (Cost to Company), plus applicable GST (currently 18%).
• Invoices are raised only upon successful Placement — that is, after the Candidate joins the Employer's organization.
• Payment is due within 30 days from the date of invoice.
• Late payments may attract interest at 1.5% per month or such rate as permitted under applicable law.
• All payments are processed through Razorpay or other authorized payment gateways. We do not store payment card details.

6. Candidate Fees

The Platform is and shall remain free of charge for Candidates. We will never charge Candidates for matching, applications, or placements.

7. Replacement Guarantee

If a placed Candidate leaves or is terminated within 90 days of joining (other than for reasons attributable to the Employer), Recrugen will provide a replacement Candidate at no additional fee, subject to availability and Employer cooperation in good-faith hiring. Refunds in lieu of replacement are governed by our Refund Policy.

8. User Conduct

You agree NOT to:

• Post false, misleading, or fraudulent information.
• Use the Platform for any illegal, harassing, discriminatory, or unauthorized purpose.
• Circumvent the Platform's fee structure by hiring a Candidate introduced through Recrugen outside the Platform (this constitutes a breach and the standard commission becomes due).
• Scrape, copy, or harvest profiles, content, or data from the Platform.
• Attempt to access another user's account or any non-public area of the Platform.
• Use the Platform to spam, phish, or distribute malware.

9. Intellectual Property

All Platform content, including but not limited to the Recrugen name, logo, software, AI models, and design, is the exclusive property of Recrugen and protected by Indian and international IP laws. You may not copy, modify, or distribute any part of the Platform without our prior written consent. Candidate profiles and content uploaded by users remain the property of the respective uploader; by uploading, you grant Recrugen a worldwide, royalty-free license to use such content for the purpose of operating the Platform.

10. Disclaimer of Warranties

The Platform is provided "as is" without warranties of any kind, express or implied. We do not warrant that the Platform will be uninterrupted, error-free, or that the AI matches will result in successful hires. To the maximum extent permitted by law, we disclaim all warranties.

11. Limitation of Liability

To the maximum extent permitted by Indian law, Recrugen, its directors, employees, and affiliates shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform. Our total aggregate liability for any claim shall not exceed the fees paid by you to Recrugen in the twelve months preceding the claim.

12. Indemnification

You agree to indemnify and hold harmless Recrugen from any claims, damages, or expenses arising from your breach of these Terms or your use of the Platform.

13. Termination

We may suspend or terminate your account at our discretion for breach of these Terms or any unlawful conduct. You may delete your account at any time by contacting hello@recrugen.com. Termination does not relieve either party of obligations accrued prior to termination (e.g., unpaid invoices).

14. Governing Law and Dispute Resolution

These Terms are governed by the laws of India. Any dispute arising from these Terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts at Nagpur, Maharashtra. The parties shall first attempt to resolve disputes amicably through negotiation; failing which, disputes may be referred to arbitration under the Arbitration and Conciliation Act, 1996.

15. Changes to Terms

We may update these Terms periodically. Material changes will be notified via email or a prominent notice on the Platform. Continued use after such notification constitutes acceptance of the updated Terms.

16. Grievance Officer (under IT Rules 2021)

In accordance with the Information Technology (Intermediary Guidelines) Rules, 2021, our designated Grievance Officer is:
